Terms of Service

1. Introduction and acceptance
These terms of service ("Terms") constitute a legally binding agreement between you ("User", "you") and Råggywood AB, registration number 556972-3884, ("we", "us", "the Company") regarding your use of the app Topicos ("App", "Service").
By creating an account or using the Service, you confirm that:
- You have read and understood these Terms
- You accept to be bound by them
- You are at least 16 years old
- You have the legal capacity to enter into this agreement
If you do not accept the Terms, you may not use the Service.
2. About the Service
Topicos is a communication platform that enables:
- Companies and organizations to create and manage teams and workgroups
- Communication via group chat and private messages
- Share files, images, video and documents
- Manage tasks and projects
- Schedule events and manage shared calendars within teams
- Send and receive notifications
3. Registration and account
Account information
To use the Service, you must register an account with your phone number. You are responsible for:
- Providing correct and current information
- Keeping your login credentials secret
- In case of suspected unauthorized access to your account, notifying us and contacting your company admin immediately. Admin can remove the unauthorized user from the company, which immediately blocks access to the company's content.
One account per person
Each person may only have one account. We reserve the right to close duplicate accounts.
Your responsibility
You are solely responsible for all activity that occurs through your account, whether or not authorized by you.
4. Companies and teams
Creating a company
Users can create companies (workspaces) in the App and invite other users as members.
Administrator roles
The person who creates a company automatically becomes an administrator ("Superadmin"). Admins can:
- Invite and remove members
- Create and manage groups and topics
- Appoint other admins ("Admin")
- Manage subscription and payment
Member responsibility
As a member of a company, you agree to follow the company's internal rules as well as these Terms.
5. Acceptable use
You may use the Service to:
- Communicate within your company or organization
- Share work-related material
- Collaborate on projects and tasks
- Plan and schedule team events via the calendar
You may NOT use the Service to:
Illegal content
- Distribute material that is illegal under Swedish law
- Share child pornography or material that sexualizes children
- Promote terrorism, violence or hate crimes
- Commit or plan crimes
Harmful behavior
- Harass, threaten or bully other users
- Spread malicious code, viruses or malware
- Attempt to gain unauthorized access to others' accounts
- Conduct phishing or fraud
Spam and abuse
- Send unsolicited advertising or spam
- Use automated systems (bots) without permission
- Overload the Service with unnecessary requests
- Circumvent technical limitations
Infringement
- Violate others' intellectual property rights
- Share confidential information without permission
- Impersonate someone else
Consequences of violation
In case of violation of these rules, we may:
- Warn you
- Temporarily suspend your account
- Permanently delete your account
- Report to authorities if a crime is suspected
6. Content
Your content
You retain all rights to content you create and share through the Service ("User Content"). By uploading content, you grant us a limited license to:
- Store and display the content for intended recipients
- Create technical copies for backup and operations
- Adapt formats for display on different devices
This license expires when you delete the content or your account.
Responsibility for content
You are responsible for:
- Having the right to share the content you upload
- That it does not violate law or these Terms
Our content
The Service, including design, logos, code and documentation, belongs to Råggywood AB and is protected by copyright and other intellectual property rights.
7. Subscriptions and payment
Subscription plans
The Service is offered as a per-seat subscription. The price is based on the number of members in your company:
- Monthly: 20 SEK per seat and month
- Annually: 216 SEK per seat and year (10% discount)
A minimum of 3 seats applies per subscription. The maximum number of seats is 200. Each seat includes 10 GB of storage.
Storage add-ons
Additional storage can be purchased as an add-on:
- +10 GB: 25 SEK/month or 269 SEK/year
- +50 GB: 125 SEK/month or 1,349 SEK/year
- +100 GB: 225 SEK/month or 2,429 SEK/year
Trial period
New companies may receive a free trial period of 30 days. After the trial period, an active subscription is required for continued use.
Payment
- Subscriptions are billed monthly or annually in advance
- Prices are stated in Swedish kronor (SEK) excluding VAT
- Payment is handled via Topicos' web portal, outside of the App Store and Google Play
- Only the company administrator is responsible for the subscription cost — individual members are not charged
Price changes
We reserve the right to change prices. In case of price changes, we will notify you at least 30 days in advance. Continued use after a price change means you accept the new price.
Refunds
- Monthly subscriptions: No refund upon cancellation
- Annual subscriptions: Proportional refund may be given upon cancellation within 14 days
- Right of withdrawal: According to the Distance Contracts Act, you have a 14-day right of withdrawal from the purchase, unless you have started using the Service
8. Termination
Your termination
You may at any time:
- Leave a company you are a member of
- Delete your account via the settings in the App
- Cancel your subscription (if you are an admin)
Our termination
We may terminate or suspend your account if:
- You violate these Terms
- You do not pay for your subscription
- You do not use the Service for 24 months
Effect of termination
Upon termination:
- You lose access to the Service
- Your personal data is deleted according to our Privacy Policy
- Messages you have sent to others are not necessarily deleted (these belong to the conversation)
9. Availability and changes
Availability
We strive to make the Service available around the clock but do not guarantee uninterrupted operation. Planned maintenance is announced in advance when possible.
Changes to the Service
We may at any time:
- Add or remove features
- Update design and user interface
- Change technical requirements
In case of significant changes that affect your use, we will notify you in advance.
Changes to the Terms
We may update these Terms. In case of changes:
- The new Terms will be published in the App and on our website
- You will be notified via notification or email
- The changes will take effect 30 days after notification
Continued use after changes have taken effect means you accept the new Terms.
10. Limitation of liability
The Service is provided "as is"
The Service is provided without warranties beyond what is required by mandatory law. We do not guarantee that:
- The Service is error-free or uninterrupted
- It meets all your specific needs
- It is compatible with all hardware or software
Limitation of liability
To the extent permitted by applicable law, we are not liable for:
- Indirect damages, consequential damages or lost profits
- Loss of data caused by you or third parties
- Content created or shared by users
- Interruptions caused by factors beyond our control
Maximum liability
Our total liability is limited to the amount you have paid for the Service during the last 12 months, or SEK 1,000 if you have used a free version.
Exceptions
These limitations do not apply in case of intent or gross negligence on our part, or where mandatory law requires otherwise.
11. Indemnification
You agree to indemnify and hold harmless Råggywood AB, its employees and partners from claims, losses or costs (including legal costs) arising from:
- Your use of the Service
- Content you share through the Service
- Your violation of these Terms
- Your infringement of third party rights
12. Disputes and applicable law
Applicable law
These Terms are governed by Swedish law.
Dispute resolution
We strive to resolve disputes amicably. Contact us first at support@topicos.app.
Court
Disputes that cannot be resolved amicably shall be decided by Swedish general courts with Stockholm District Court as the first instance.
Consumer disputes
If you are a consumer, you may also contact:
- The National Board for Consumer Disputes (ARN) at www.arn.se (reviews disputes where the value exceeds SEK 500)
- The EU's online dispute resolution platform at https://ec.europa.eu/consumers/odr
13. Miscellaneous
Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor in the event of a merger, acquisition or sale of assets.
Severability
If any part of these Terms is deemed invalid by a court, it does not affect the remaining parts, which remain valid.
No waiver
Our failure to exercise a right under these Terms does not mean that we waive that right.
Force majeure
We are not liable for delays or failure to perform caused by circumstances beyond our reasonable control, such as natural disasters, war, pandemic, or interruptions in internet or power supply.
